These Terms govern access to and use of the PaidTerms platform, including instalment payment services, receivables-related services, and associated payment functionality made available to approved business users and their customers.

1. Introduction

1.1 These Terms of Service (“Terms”) govern access to and use of the PaidTerms platform, website, and related services (the “Platform”).

1.2 PaidTerms provides a business-to-business payments platform that enables merchants (“Merchants”) to offer instalment payment options to their customers (“Customers”).

1.3 By accessing or using the Platform, you agree to be bound by these Terms.

2. Services Overview

2.1 PaidTerms provides a technology platform that enables:

  • the creation and management of payment plans
  • the facilitation of instalment-based payments
  • the collection and processing of payments through authorised providers

2.2 PaidTerms may offer multiple service types, including:

  • instalment payment facilitation services
  • receivables-based services, including funding, subject to approval

2.3 Access to certain services may be restricted, conditional, or subject to approval, verification, and risk assessment.

2.4 PaidTerms may modify, add, or remove services at any time.

3. Eligibility

3.1 The Platform is intended for use by businesses operating in a commercial capacity.

3.2 By using the Platform, you represent that:

  • you have authority to act on behalf of the business
  • all information provided is accurate and complete
  • you will comply with all applicable laws and regulations

4. Use of the Platform

4.1 You agree to use the Platform only for legitimate commercial purposes.

4.2 You must not:

  • submit false, misleading, or fraudulent information
  • use the Platform for unlawful activity
  • interfere with or disrupt the Platform
  • attempt to reverse engineer or exploit the system

4.3 PaidTerms may monitor Platform usage for compliance, security, and operational purposes.

5. Payment Processing

5.1 Payments are processed through PaidTerms and authorised third-party providers.

5.2 PaidTerms may:

  • facilitate the collection of payments
  • route payments between parties
  • apply operational controls to transactions

5.3 Payment timing and processing may be affected by banking systems, third-party providers, and technical or operational factors.

5.4 PaidTerms is not responsible for delays outside its reasonable control.

6. Instalment Plans

6.1 The Platform enables Customers to pay for goods or services over time.

6.2 Instalment plans are created based on Merchant inputs and accepted by Customers at the point of transaction.

6.3 PaidTerms does not guarantee that Customers will complete payments.

7. Receivables and Funding Services

7.1 PaidTerms may, at its discretion, offer services involving the purchase, assignment, or funding of receivables.

7.2 Where such services apply:

  • PaidTerms may acquire rights to a receivable
  • PaidTerms may collect payments directly from Customers

7.3 All such services are discretionary, assessed on a per-transaction basis, and subject to internal risk policies.

7.4 PaidTerms is not obligated to provide funding or accept any receivable.

8. Risk Allocation

8.1 Where PaidTerms acts as a payment facilitator, the Merchant retains credit risk and PaidTerms is not liable for Customer non-payment.

8.2 Where PaidTerms provides receivables-based services, PaidTerms may assume risk for approved transactions, but the Merchant remains responsible for fraud, disputes, and invalid or misrepresented transactions.

9. Merchant Responsibilities

9.1 Merchants must ensure that all transactions submitted through the Platform:

  • relate to genuine goods or services
  • are accurate and lawful
  • are not disputed at the time of submission

9.2 Merchants must promptly notify PaidTerms of disputes, errors, or fraudulent activity.

10. Customer Responsibilities

10.1 Customers agree to provide accurate information and make payments in accordance with agreed instalment plans.

10.2 Customers are responsible for ensuring sufficient funds are available for scheduled payments.

11. Platform Control and Discretion

11.1 PaidTerms may, at its sole discretion:

  • approve or decline transactions
  • impose limits or restrictions
  • suspend or terminate access
  • delay or withhold transactions

11.2 These actions may be taken for risk management, compliance, or operational integrity.

12. No Guarantees

12.1 PaidTerms does not guarantee availability of any service, approval of transactions, timing of payments, or completion of instalment plans.

13. Third Party Services

13.1 The Platform relies on third-party providers, including payment processors.

13.2 PaidTerms is not responsible for failures, downtime, or actions of third-party systems or providers.

14. Limitation of Liability

14.1 To the maximum extent permitted by law, PaidTerms is not liable for indirect, consequential, or business-related loss, including loss of revenue, profit, or opportunity.

14.2 PaidTerms’ total liability is limited to the extent permitted under New Zealand law.

15. Indemnity

15.1 You agree to indemnify PaidTerms against any loss arising from breach of these Terms, fraud, misconduct, or inaccurate or misleading information.

16. Suspension and Termination

16.1 PaidTerms may suspend or terminate access at any time without notice.

16.2 Reasons may include breach of these Terms, risk concerns, or legal and regulatory requirements.

17. Changes to Terms

17.1 PaidTerms may update these Terms at any time.

17.2 Continued use of the Platform constitutes acceptance of updated Terms.

18. Governing Law

18.1 These Terms are governed by the laws of New Zealand.

18.2 The parties submit to the exclusive jurisdiction of the New Zealand courts.
